Terms of Use

1. The Service

yokey is a creative platform that lets you organize, manage, and collaborate on visual content through workspaces, teams, clients, and projects, and generate content using a third-party AI provider that you connect to your workspace. yokey provides the platform and routes your requests to your connected provider; it does not itself generate content. We may add, change, or remove features and limits from time to time.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. Account creation and authentication are handled through our identity provider, Clerk.

You agree that you will:

1. provide accurate and complete account information and keep it up to date;
2. keep your credentials confidential and not share your account with anyone else;
3. be responsible for all activity that occurs under your account; and
4. notify us promptly at support@yokey.ai of any unauthorized use.

You may not create an account using a false identity, on behalf of someone you are not authorized to represent, or if we have previously suspended or removed you.

3. Workspaces, teams, and clients

The Service lets you create a workspace and invite others to it as team members, and to organize work by client and project. The person or organization that owns a workspace (the “Workspace Owner”) is responsible for managing it, including who is invited, the roles and permissions they are given, and the subscription and billing for the workspace.

The Workspace Owner is responsible for the activity of everyone they invite to the workspace, including people outside their organization, and any action taken by a workspace member is treated as authorized by the Workspace Owner. If you invite others, you are responsible for ensuring they comply with the Agreement.

4. Acceptable use and prohibited conduct

You are responsible for your use of the Service and for the content you submit and generate. You agree that you will not, and will not permit anyone else to, use the Service to create, upload, or distribute content that:

1. depicts, promotes, or facilitates the sexual abuse or exploitation of minors (CSAM), whether real, fictional, or AI-generated;
2. is sexually explicit, or depicts non-consensual intimate imagery or sexual violence;
3. promotes violence, self-harm, terrorism, or the development or use of weapons;
4. promotes hatred, harassment, or discrimination against a person or group based on protected characteristics;
5. impersonates a real person or entity, or creates deepfakes or other content intended to deceive others into believing it is authentic or human-created;
6. depicts a real, identifiable person, brand, or logo without the rights or consents required to do so;
7. spreads election misinformation, fraud, deceptive claims, or unlawful advertising;
8. infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party; or
9. is otherwise unlawful, or violates the Agreement or the policies of any model provider whose model you use.

You also agree not to:

1. reverse engineer, decompile, scrape, or use automated means to extract data from or overload the Service;
2. use the Service, or any Output, to develop, train, or improve any AI model or service that competes with the Service;
3. circumvent usage limits, quotas, security features, or billing, or interfere with the Service’s operation; or
4. resell, sublicense, or provide the Service to third parties except as expressly permitted.

5. Your content and generated output

Your inputs. You retain all rights you hold in the prompts, references, images, and other materials you submit (“Inputs”). You represent that you have the rights, permissions, and consents needed to use your Inputs with the Service and with the AI provider you connect. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display your Inputs, and to route them to your connected AI provider, solely to operate and provide the Service to you.

Your output. Content generated through the Service (“Output”) is produced by the third-party AI provider you connect, not by yokey. As between you and yokey, we claim no ownership of your Output and do not restrict your use of it; your rights in Output, and any restrictions on it, are determined by your agreement with that provider and by applicable law. Because Output is produced by AI models, we cannot guarantee that it is unique, original, non-infringing, or eligible for copyright or other protection, and similar or identical Output may be generated for other users. You are solely responsible for reviewing and evaluating Output before relying on or publishing it.

6. AI generation through your connected provider

To generate content, you connect your own account or API key with a third-party AI provider to your workspace. Generations run on your connected provider using your own credentials and, where applicable, your own usage or billing with that provider. yokey acts as a bridge: we transmit the Inputs you submit to your connected provider and return the resulting Output to your workspace. yokey does not itself generate content, and does not use your Inputs or Output to train any AI model.

Your use of a connected provider is subject to that provider’s own terms and acceptable-use policies, and you are responsible for your account and credentials with it and for any fees or usage limits it applies. We store any credentials you connect in encrypted form and use them only to route your generations.

Your subscription with yokey is a platform fee for workspaces, seats, storage, and collaboration features. It does not pay for generation or compute, which run on the provider you connect.

7. Storage is not a backup service

The Service is provided for creating and managing content and is not a storage, archival, or backup service. You are responsible for keeping your own copies of Inputs and Output you wish to retain. We may, but are not obligated to, store or preserve your content, and we may set or change storage limits, and delete or disable access to content, including on account closure and subject to the Agreement.

8. Monitoring, moderation, and enforcement

We may, but are not obligated to, review, screen, or monitor Inputs and Output, using automated systems, user reports, or human review, to operate the Service and enforce the Agreement. We may refuse to process, remove, or disable access to any content, and suspend or terminate access to the Service, where we reasonably believe it violates the Agreement or applicable law, or to protect the Service, other users, or the public. We may report and cooperate with law enforcement and authorities regarding suspected unlawful use. We are not liable for actions taken in good faith under this section.

9. Our intellectual property

The Service, including its software, design, branding, and content (excluding your Inputs and Output), is owned by yokey or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with the Agreement. You may not use our name, trademarks, or logos without our prior written consent, and no rights are granted other than as expressly set out here.

10. Copyright infringement notices

We respect intellectual property rights. If you believe content available through the Service infringes your copyright or other rights, contact us at legal@yokey.ai with enough detail to identify the content, your rights in it, your contact information, and a statement of your good-faith belief that the use is not authorized. We may remove allegedly infringing content and terminate the accounts of repeat infringers.

11. Feedback

If you send us suggestions, comments, or other feedback about the Service (“Feedback”), you agree it is non-confidential, and you assign it to us and allow us to use it without restriction, attribution, or compensation. We are under no obligation to use any Feedback.

12. Third-party services and connected accounts

The Service may let you connect third-party accounts or link to third-party websites and services. Those services are controlled by others and governed by their own terms and privacy policies, and you use them at your own risk. You are responsible for maintaining any account you connect and for complying with the applicable third-party terms. We are not responsible for third-party services or their availability.

13. Subscriptions, billing, and taxes

yokey is currently in early access. We are not selling paid plans and are not charging anyone for the Service. Before any paid plan becomes available, we will publish billing terms, including who sells the paid plan and how it is billed, and those terms will apply once you accept them.

Once paid plans become available, subscriptions will renew automatically each billing period at the then-current price until cancelled. You will be able to cancel at any time from your billing settings; your plan will remain active until the end of the current paid period, after which the workspace moves to the Free plan. We may change plan features and prices; where a change would affect your subscription, we will give notice in advance and the change applies from your next billing period. 14. Sanctions and export compliance

You represent that you are not located in, and will not use the Service in, a country or territory subject to comprehensive sanctions, and that you are not a person or entity named on a sanctions or prohibited-parties list under the laws of the United States, the European Union, Israel, or other applicable jurisdictions. You agree to comply with all applicable sanctions and export-control laws in your use of the Service.

15. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will meet your requirements or be accurate, reliable, or free of third-party rights. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

16. Limitation of liability

To the maximum extent permitted by law, yokey will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred United States dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing in the Agreement limits liability that cannot be limited by law.

17. Indemnification

You agree to indemnify and hold harmless yokey and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising out of your Inputs, your Output, your use of the Service, or your violation of the Agreement or applicable law or third-party rights.

18. Term, termination, and survival

The Agreement applies while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach the Agreement, if required by law, or to protect the Service or other users; where we terminate without cause, we will refund any pre-paid, unused portion of your subscription. On termination, the license granted to you ends and we may delete your content. Sections that by their nature should survive, including those on your content and Output, our intellectual property, disclaimers, limitation of liability, indemnification, and governing law, survive termination.

19. Changes to the Service and these Terms

We may change, suspend, or discontinue features of the Service at our discretion. We may also update these Terms from time to time; if we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

20. Assignment

You may not assign or transfer the Agreement without our prior written consent. We may assign or transfer the Agreement, in whole or in part, without your consent, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.

21. Notices and electronic communications

You agree that we may provide notices and communications to you electronically, including by email to the address on your account or by posting them in the Service, and that these satisfy any legal requirement that such communications be in writing. It is your responsibility to keep a valid email address on file. You may send notices to us at legal@yokey.ai.

22. General

The Agreement is the entire agreement between you and yokey regarding the Service and supersedes any prior agreements on that subject. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. We are not liable for delays or failures caused by events beyond our reasonable control. Nothing in the Agreement affects any statutory rights you have as a consumer that cannot be waived.

23. Governing law and disputes

The Agreement is governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any dispute arising out of or relating to the Agreement or the Service, and you consent to their jurisdiction and venue.
